 Well Informed, Professional and Institutional Client shall be deemed to include:

  1. Any entity which, under the laws of its jurisdiction, is duly authorised or regulated to operate in financial markets, including, without limitation, financial intermediaries such as banks, investment firms, broker-dealers, insurance companies, insurance intermediaries, funds, pension funds or management companies.
  2. A large undertaking (with the term “undertaking” including companies, partnerships, associations, and other entities, whether or not possessing legal personality).
  3. A national government, a central bank, or an international or supranational institution.
  4. A regional government, subnational organisation, or a state agency responsible for public debt management.
  5. Any institutional client whose main activity is to invest in financial instruments, including entities engaged in securitization of assets or other structured finance transactions.

The term Institutional Client or Institucional Investor specifically covers Professional Clients within the meaning of MiFID and AIFMD, or equivalent regimes outside the European Union, as well as those investors regarded as professional under local legislation (including, by way of example, “well-informed investors” in Luxembourg), or any other equivalent category under the applicable legal framework.
